“RESOLVED THAT pursuant to the provisions of Sections 129, 134 and other applicable provisions, if any, of the Companies Act, 2013 read with the rules made thereunder, including any statutory modification(s), amendment(s) or re-enactment(s) thereof for the time being in force, the audited financial statements of the Company for the financial year ended [●], comprising the balance sheet as at [●], the statement of profit and loss, cash flow statement, if applicable, together with the notes forming part thereof and the reports of the Board of Directors and auditors thereon, as circulated to the members, be and are hereby received, considered and adopted.
RESOLVED FURTHER THAT the Board of Directors of the Company be and is hereby authorised to do all such acts, deeds and things as may be necessary for giving effect to this resolution.”
