Approval of financial statements

“RESOLVED THAT pursuant to the provisions of the Companies Act, 2013, read with the applicable rules made thereunder, including any statutory modification(s), amendment(s) or re-enactment(s) thereof for the time being in force, the Financial Statements of the Company comprising the Balance Sheet as at [●], the Statement of Profit and Loss, Cash Flow Statement, if applicable, together with the Notes forming part thereof for the financial year ended [●], as placed before the Board, be and are hereby considered, approved and adopted.

RESOLVED FURTHER THAT any Director and/or Chief Financial Officer and/or Company Secretary of the Company be and are hereby severally authorised to sign the Financial Statements on behalf of the Board and to do all such acts, deeds, matters and things as may be necessary or incidental in connection with the approval, authentication, circulation, filing and submission thereof with the statutory authorities including the Registrar of Companies.”
