“RESOLVED THAT pursuant to the provisions of Sections 134(5), 173, 179 and other applicable provisions, if any, of the Companies Act, 2013, read with the rules made thereunder and applicable Secretarial Standards, the Compliance Status Report of the Company covering statutory, regulatory, secretarial, financial, labour, tax and other applicable compliances, as placed before the Board, be and is hereby reviewed, noted and taken on record.
RESOLVED FURTHER THAT the Board hereby directs the management of the Company to ensure timely compliance with all applicable laws, regulations, filings, registrations, licences, approvals and statutory obligations and to take corrective actions, wherever required.
RESOLVED FURTHER THAT any Director and/or the Company Secretary and/or Chief Financial Officer be and are hereby severally authorised to undertake all necessary actions for ensuring continued compliance and to do all such acts, deeds and things as may be necessary for giving effect to this resolution.”
