“RESOLVED THAT pursuant to the provisions of Section 152(1) and other applicable provisions, if any, of the Companies Act, 2013 and [Article [●] of the Articles of Association of the Company / the Articles of Association of the Company, which do not name the first directors], the Board hereby takes note that the following persons are the first Directors of the Company with effect from the date of its incorporation, [●]:
RESOLVED FURTHER THAT the Board notes that each of them has consented to act as a Director by a consent filed with the incorporation form and that the first Directors hold office in accordance with Section 152 of the said Act and the Articles of Association of the Company, and that a proposal for their appointment as Directors be placed before the members at the first annual general meeting of the Company.
RESOLVED FURTHER THAT any Director and/or the Company Secretary of the Company be and is hereby severally authorised to enter the particulars of the first Directors in the Register of Directors and Key Managerial Personnel and their shareholding, to obtain their disclosures in Forms MBP-1 and DIR-8, and to do all such acts, deeds and things as may be necessary for giving effect to this resolution.”
