“RESOLVED THAT pursuant to the provisions of Section 12 and other applicable provisions, if any, of the Companies Act, 2013 and the rules made thereunder, the Board hereby takes note that the registered office of the Company is situated at [complete address], being the address verified to the Registrar of Companies [in the incorporation form (SPICe+) / in e-Form INC-22], and that the said office is capable of receiving and acknowledging all communications and notices addressed to the Company.
RESOLVED FURTHER THAT the name of the Company and the address of its registered office be painted or affixed on the outside of the registered office and of every other office or place in which the business of the Company is carried on, and that the name, registered office address and Corporate Identity Number of the Company, together with its telephone number and, where it has them, its fax number, e-mail address and website address, be printed on all its business letters, billheads, letter papers, notices and other official publications, as required under Section 12(3) of the said Act.
RESOLVED FURTHER THAT any Director and/or the Company Secretary of the Company be and is hereby severally authorised to file e-Form INC-22 with the Registrar of Companies where verification of the registered office has not already been furnished at incorporation, and to do all such acts, deeds and things as may be necessary for giving effect to this resolution.”
