Special resolution format for alteration of Articles of Association under Section 14, amending Articles or adopting a new set, with MGT-14 within 15 days.
To consider and, if thought fit, to pass, with or without modification(s), the following resolution as a Special Resolution:
“RESOLVED THAT pursuant to the provisions of Section 14 and other applicable provisions, if any, of the Companies Act, 2013 and the rules made thereunder, the Articles of Association of the Company be and are hereby altered [by substituting the existing Article [●] with the following new Article [●]: ‘[●]’ / by adopting the draft Articles of Association placed before the meeting as the Articles of Association of the Company, in substitution for, and to the entire exclusion of, the existing Articles of Association].
RESOLVED FURTHER THAT the Board of Directors and/or the Company Secretary of the Company be and are hereby severally authorised to file e-Form MGT-14 with the Registrar of Companies together with a printed copy of the altered Articles of Association, and to do all such acts, deeds and things as may be necessary for giving effect to this resolution.”
